TERMS AND CONDITIONS OF QUOTATION


1. REPAIR LIMITATION
This quote if for the repair of overhaul of turbine engine selective components. Magellan Aerospace Turbine Services (MATS) will assess each item as it is received and use its best efforts to repair or overhaul the component utilising approved technical data and methods or perform limited repairs as per the customers direction as long as flight safety is not in our opinion comprised. If during the repair process, a defect is uncovered which was not previously recognised and causes the item to be considered beyond Economical Repair or beyond the original quote, the customer would be informed and an engineering recommendation made on the viability of any further repair. No further work will be performed until the customer responds to the information provided. Once a quote is provided, either for the original work scope or undetected damage, the component will be held for 30 days after which it will be returned to the customer with an inspection fee charged. If the component is returned to MATS for repair or overhaul the inspection fee will be credited to the then current repair/overhaul price.

2. WARRANTY
(A.) Magellan Aerospace Turbine Services will certify that the items quoted are inspected, tested (if applicable) and conform to the specifications set out in the purchase order.
(B.) Magellan Aerospace Turbine Services as stated will warrant the items quoted. The warranties contained in the contract and/or P.O. are in lieu of all the other warranties of any kind whatsoever, whether in contract, in tort, express, implied of statutory, and all implied warranties of merchantability, fitness for particular purpose of arising from a course of dealing or usage of the trade are hereby disclaimed by seller and excluded from this agreement. All requests for warranty fulfilment must be made within the warranty period, which shall be duration of one-year form the date shipped, unless otherwise stated in the contract of P.O.

3. LIMITATION OF LIABILITY
Seller's liability on any claim of any kind, including negligence, or any loss or damage arising out of, connected with or resulting form this order, or from the performance or breach thereof, or from the manufacture sale, delivery, resale, repair, or use of any article covered by or furnished under this order, shall in no case exceed the price allocable services charge permitted under the laws of the State of Arizona shall be applied to all past due accounts.

4. PRICES AND PAYMENT
All prices are f.o.b. Glendale, Arizona and unless otherwise stated, do not include freight, insurance, taxes, duty or other similar charges. Terms are net 30 days unless otherwise agreed to in writing by seller. The Maximum allowable service charge permitted under the laws of the State of Arizona shall be applied to all past dues accounts.

5. DELAYS
Seller shall not be liable for delays in delivery, performance, or failure to perform, manufacture of deliver due to (1) causes beyond its reasonable control, or (2) acts of god, acts of the Buyer, acts of civil of military authority, governmental priorities, fires, strikes, floods, epidemics, war, riot, delays in transportation or shortages, or (3) inability due to cause beyond its reasonable control to obtain necessary labor, materials, utilities, components or manufacturing facilities. In the event of any such delay, the date of performance/delivery shall be extended for a period of time, as may be reasonable necessary to compensate for any such delay.

6. TAXES
The amount of all federal, state or local taxes applicable to the sale, use or transportation of the parts sold or the work performed, and all duties, imposts, tariffs or other similar levies, shall be added to the prices and paid by the buyer, except where the buyer shall furnish an appropriate certificate of exemption, Buyer identifies and holds Seller harmless from the payment or imposition of any tax imposed on any parts sold or used, or for any work performed under the provisions of any state sale or use tax act plus penalties or interest or attorney's fees connected with the imposition of any such sales or use tax in connection with the parts sold or used or the work performed.

7. EXPORT
If the article sold is for export. Buyer shall be responsible for arranging transportation, insurance and export clearance.

8. SHIPPING
All shipping charges are the responsibility of the customer, unless warranty is granted on an item, which had been returned.
